Form R13001 is a unified application for state registration of changes made to the constituent documents of an organization, which is submitted to the Federal Tax Service.

General rules for filling out form P13001

Form P13001 is completed using a computer or manually using a black ink pen only. Computer registration of the application is carried out using the font Courier New 18 size.

With computer design, there may be no empty cells, provided that the filled cells are in their original places. Manual filling should be carried out carefully, without going beyond the cells, in block capital letters.

All entered data is left-aligned (i.e., starts from the leftmost cell), with the exception of fractions. There are spaces between words. If the last cell of a line is filled with a letter, and the next line begins with a new word, then one cell should be left empty before this new word.

When changing the address of the executive body of a legal entity, it is necessary to fill out Sheet B. Only those fields that appear in the new address are subject to completion.

5.11.4. Section 4 "Share in the authorized capital (share capital, authorized fund, mutual fund)" is filled out taking into account the provisions of subparagraph 2.7.4 of these Requirements.

5.12. Sheet G of the application "Information about the participant - the Russian Federation, the subject of the Russian Federation, the municipality" is filled out taking into account the provisions of subparagraph 5.7.6 and paragraph 5.8 of these Requirements if the changes made to the constituent documents of a legal entity relate to information about the participant - these public entities . If necessary, fill out several sheets of the G application.

5.12.1. In section 1 "Reason for entering information" in a field consisting of one familiarity, the corresponding digital value is entered.

If the value is set to 1, sections 2, 3, 4 are filled in.

If the value is 2, section 2 is filled in.

If the value 3 is set, section 2 is filled in, as well as section 3 (in case of changes in information about the share of the participant in the authorized (share) capital (authorized (share) fund) of the legal entity) and (or) section 4 (in case of changes in information about the participant ).

5.12.2. In section 2 "Member is" in clause 2.1 in the field consisting of one familiarity, the corresponding digital value is entered.

If the value is set to 1, other sections of the section are not filled.

If the value is set to 2, item 2.2 is filled in.

If the value is set to 3, items 2.2, 2.3 are filled in and, in case of a change in the name of the municipality, item 2.4.

Clause 2.2 is filled in in accordance with Appendix 1 to these Requirements.

Clause 2.3 indicates the name of the participant - the municipality in accordance with the information contained in the Unified State Register of Legal Entities.

Clause 2.4 is filled in in accordance with the charter of the municipality.

5.12.3. Section 3 "Share in the authorized capital (share capital, authorized fund, mutual fund)" is filled out taking into account the provisions of subparagraph 2.7.4 of these Requirements.

5.12.4. Section 4 "The rights of the participant exercises" is filled out taking into account the following.

Clause 4.1 is filled in in relation to a public authority, local government, legal entity exercising the rights of a participant - the Russian Federation, a constituent entity of the Russian Federation or a municipality.

In subparagraph 4.1.1, in a field consisting of one familiarity, the corresponding digital value is entered.

If the value is set to 1, subparagraph 4.1.3 is filled in.

If the value is set to 2, subparagraph 4.1.2 is filled in.

If the value is 3, subparagraphs 4.1.2 and 4.1.3 are filled in.

Subparagraph 4.1.2 is filled in in accordance with the information contained in the Unified State Register of Legal Entities.

Sub-clause 4.1.3 is completed taking into account the provisions of clauses 2.7.1–2.7.3 of these Requirements.

Clause 4.2 is completed in relation to individual exercising the rights of a participant - the Russian Federation, a constituent entity of the Russian Federation or a municipality.

In subparagraph 4.2.1, in a field consisting of one familiarity, the corresponding digital value is entered.

If the value is set to 1, subparagraph 4.2.3 is filled in.

If the value is set to 2, subparagraph 4.2.2 is filled in.

If the value is 3, subparagraphs 4.2.2 and 4.2.3 are filled in.

Subparagraph 4.2.2 is filled in in accordance with the information contained in the Unified State Register of Legal Entities.

Subclause 4.2.3 is filled out taking into account the provisions of clauses 2.9.1 - 2.9.3, 2.9.5, 2.9.6 of these Requirements.

In the event of a change in information about an individual acting as a participant - the Russian Federation, a constituent entity of the Russian Federation or a municipality (if the value 3 is set in sub-clause 4.2.1), in sub-clause 4.2.3 only those indicators are filled in that are associated with the changed information about the specified physical person.

5.13. Sheet 3 of the application “Information on the share investment fund whose property includes a share in the authorized capital of a legal entity” is filled out taking into account the provisions of sub-clause 5.7.6 and clause 5.8 of these Requirements.

If necessary, several sheets of the 3 application are filled out.

5.13.1. Section 1 "Reason for entering information" is filled out taking into account the provisions of subparagraph 5.9.1 of these Requirements.

5.13.2. Section 2 "Information contained in the Unified State Register of Legal Entities" is filled in in accordance with the information contained in the Unified State Register of Legal Entities.

Clause 2.2 is completed taking into account the provisions of clauses 2.7.1 - 2.7.3 of these Requirements.

5.13.3. Section 3 "Information entered into the Unified State Register of Legal Entities" indicates the amended information.

Clause 3.2 is completed taking into account the provisions of clause 2.7.1 - 2.7.3 of these Requirements.

5.13.4. Section 4 "Share in the authorized capital (share capital, authorized fund, mutual fund)" is filled out taking into account the provisions of subparagraph 2.7.4 of these Requirements.

5.14. Sheet I of the application "Information on the share in the authorized capital of a limited liability company owned by the company" is filled in in the event of a decrease in the authorized capital of a limited liability company due to the repayment of the share owned by the company.

5.14.1. In section 1 "Information on repayment" in clause 1.1, in a field consisting of one familiarity, the corresponding digital value is entered.

When setting the value 1, paragraph 1.2 and section 2 are not filled.

When setting the value 2, paragraph 1.2 and section 2 are filled in.

5.14.2. Section 2 "Share owned by the company after redemption of a part of the share" is filled out taking into account the provisions of clause 2.7.4 of these Requirements.

5.15. Sheet K of the application "Information on the branch / representative office" is filled in if the changes made to the constituent documents of the legal entity are associated with changes in the information about the branch and (or) representative office of the legal entity.

For each branch and (or) representative office, a separate sheet K of the application is filled out.

5.15.1. In section 1, in a field consisting of one familiarity, the corresponding digital value is entered.

5.15.2. In section 2 "Reason for entering information" in a field consisting of one familiarity, the corresponding digital value is entered.

If the value is 1 or 2, section 3 is filled in.

If the value is 3, sections 3 and 4 are filled in.

5.15.3. Section 3 "Information about the branch/representative office" shall contain information about the branch/representative office being created (if the value 1 is entered in section 2), or information about the branch and (or) representative office contained in the Unified State Register of Legal Entities (in if section 2 is set to 2 or 3).

Clause 3.1 indicates the name of the branch or representative office, if the branch or representative office has it.

In paragraph 3.2, subparagraph 3.2.1 is filled in taking into account the provisions of paragraph 2.3 of these Requirements. In subparagraph 3.2.2, in the indicator "Country of location" (subparagraph 3.2.2.1), the numeric code of the country of location of the branch or representative office according to the All-Russian classifier of countries of the world OK-025-2001 is indicated. Sub-clause 3.2.2.2 indicates the address of the location of the branch or representative office in the country, information about which is specified in sub-clause 3.2.2.1.

5.15.4. Section 4 "Information on the name and / or address of the location of a branch or representative office to be entered in the Unified State Register of Legal Entities, if they are changed" is filled in in case of changes contained in the Unified State Register of Legal Entities information about the branch / representative office (if 2 is set to 3).

Clause 4.1 indicates the new name of the branch or representative office if it is changed, or the name of the branch or representative office, if it appeared at the branch or representative office.

In paragraph 4.2, subparagraph 4.2.1 is filled in subject to the provisions of paragraph 2.3 of these Requirements. In subparagraph 4.2.2, in the indicator "Country of location" (subparagraph 4.2.2.1), the numeric code of the country of location of the branch or representative office according to the All-Russian classifier of countries of the world OK-025-2001 is indicated. Sub-clause 4.2.2.2 indicates the address of the location of the branch or representative office in the country, information about which is indicated in sub-clause 4.2.2.1.

5.16. Sheet L of the application "Information on codes according to the All-Russian classifier of types of economic activity" indicates the codes according to the All-Russian Classifier of Economic Activities OK 029-2014 (NACE Rev. 2).

5.16.1. Section 1 "Information on codes according to the All-Russian classifier of types of economic activity to be entered in the Unified State Register of Legal Entities" indicates at least four digital characters.

5.16.2. Section 2 "Information on codes according to the All-Russian classifier of types of economic activity to be excluded from the Unified State Register of Legal Entities" is filled in in accordance with the information contained in the Unified State Register of Legal Entities.

5.16.3. If necessary, several sheets L of the application or several pages 1 and (or) 2 of sheet L of the application are filled out. In this case, clause 1.1 of section 1 and (or) clause 2.1 of section 2 is filled out only on the first sheet L of the application (the first page 1 or 2 of sheet L of the application).

5.17. Sheet M of the application "Information about the applicant" is filled in in relation to the individual acting as the applicant.

5.17.1. In section 1 "The applicant is" in the field consisting of one familiarity, the corresponding digital value is entered.

5.17.2. Section 2 "Information on the managing organization" is filled in in accordance with the information contained in the Unified State Register of Legal Entities, if in Section 1 the value 3 is indicated in relation to the managing organization of the legal entity whose constituent documents are being amended.

5.17.3. Section 3 "Information about the Applicant" is filled out taking into account the provisions of subparagraphs 2.9.1, 2.9.2, 2.9.3, 2.9.5, 2.9.6 of these Requirements, respectively.

Clause 3.6 is filled out taking into account the provisions of the fourth paragraph of subclause 2.20.4 of these Requirements.

5.17.4. Section 4 is completed subject to the provisions of paragraph 2.20.5 of these Requirements.

5.17.5. Section 5 "Information about the person who certified the authenticity of the applicant's signature in a notarial procedure" is filled out taking into account the provisions of clause 2.20.6 of these Requirements.

Basic rules for filling out an application

• to fill on the computer, use capital letters 18 high, font Courier New;
• manually the application is filled in capital block letters, in black ink;
• the application consists of 23 pages, you will need only those in which changes are made (blank pages are not attached and are not numbered);
• in one application, several changes can be indicated at the same time (for example, a change in OKVED and a decrease in the authorized capital);
• page 001 and sheet M are always filled out, regardless of the type of change;
• section 5 of sheet M is filled in by a notary;
• duplex printing is prohibited.

Filling P13001 when changing the name

In this case, the application will consist of page 001, sheets A and M.

On sheet A, a new name is indicated: in full and abbreviated form.

Filling P13001 when changing the legal address

To change the address, page 001, sheets B and M are filled out.

In sheet B we enter information about the address (location) of the executive body (in its absence, the body or person acting by proxy).

Note, that in the charter a legal address is allowed to be indicated only in the form of a settlement. If, for example, the city of Moscow is indicated in the charter and there is no information about the street, house, etc., and the new address is located within the city, there is no need to make changes to the charter.

Filling R13001 when changing OKVED in the charter

We fill out page 001 and sheets L, M.

In sheet L we use the following pages:

• adding new OKVED codes - sheet L page 1 is filled out;
• exclusion of valid OKVED codes - sheet L page 2 is filled out;
• change of main activity new code we enter it in sheet L on page 1, we enter the old code in sheet L on page 2. At the same time, the old OKVED can be left as an additional one by indicating it in sheet L on page 1.

Note, if the charter contains the phrase “The company has the right to carry out other types of activities not prohibited by law”, form Р14001 is used for changes in OKVED codes.

Filling R13001 to reduce (increase) the authorized capital

To fill out, use page 001, sheets B and M.

In the event of a decrease in the authorized capital due to the redemption of a share, sheet I is filled out.

Additionally, you can enter information in the relevant sheets of the application (D, D, F, G, H) about the participants, about the distribution of their shares.

In section 1 of sheet G, the required digital value is entered. The choice of value determines which sections you need to complete:

• value 1 is set - sections 3 and 4 are filled in;
• value 2 is set - section 2 is filled;
• the value 3 is entered - section 2, section 3 are filled in (if information about the participant changes) and (or) section 4 (if the share of the participant in the authorized capital changes).

Similarly to section 1 of sheet G, sheets D, E, H are filled out.

In section 1 of sheet G, select from the following values:

• value 1 - sections 2, 3, 4 are filled;
• value 2 - section 2 is filled;
• value 3 - fill in section 2, section 3 (if the information about the participant changes) and (or) section 4 (if the share of the participant in the authorized capital changes).

Note: simultaneous entry of information about the amount of capital and about the participants, without using form P14001, is allowed only in case of an increase (decrease) in the authorized capital.

Filling in P13001 to change information about a branch and (or) representative office

To change the information, you will need page 001, sheets K and M.

Sheet K is filled out separately for each branch (representative office).

In section 1 of sheet K, the required digital value is entered. The choice of value determines which sections you need to complete:

• value 1 or 2 is set - section 3 is filled;
• value 3 is set - sections 3 and 4 are filled.

If the branch (representative office) has a name, we indicate it in paragraph 3.1 of sheet K. Also, the name can be changed by filling out paragraph 4.1 of sheet K.

When filling out paragraph 4.2.2. used All-Russian classifier countries of the world OK-0250-2001.

Note, if information about the branch (representative office) changes at the same time as other information in the charter, you submit an application in the P13001 form. In case of changes only in relation to the branch (representative office) - you will need a notification in the form P13002.
